1. Who you are contracting with

Guestbo (the "Service") is provided by Carlos Ronelli Freitas de Paula("Guestbo", "we", "us", "our"). By creating an account or using the Service you agree to these Terms & Conditions ("Terms"). If you do not agree, do not use the Service.

2. The Service

Guestbo is a web application that helps property owners track mortgages, expenses, rent, short-stay bookings, and related financial data. Features and plans may change over time.

3. Your account

You must be at least 18 years old (or have authority to bind your organisation) to use the Service. You are responsible for keeping your credentials confidential and for any activity under your account. You must provide accurate information and keep it up to date.

4. Acceptable use

You agree not to:

• use the Service for anything unlawful, fraudulent, or abusive;
• send spam or infringe intellectual property or privacy rights;
• probe, scan, scrape, or interfere with the Service's security;
• upload malware or attempt to reverse engineer the Service;
• resell, redistribute, or circumvent technical or plan limits.

5. Payments, subscriptions and Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Payment terms, billing frequency, tax collection, currency conversion, invoicing, subscription renewals, cancellations and refunds are governed by Paddle's Buyer Terms and our Refund Policy. Subscriptions renew automatically at the end of each billing period until cancelled. You can cancel at any time through the customer portal or by contacting support.

6. Intellectual property

The Service, including software, design, branding and documentation, is owned by us and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service under your current plan. You retain ownership of the content you enter (property data, transactions, bookings); you grant us a limited licence to host and process that content solely to provide the Service to you.

7. Service level and warranties

The Service is provided on an "as is" and "as available" basis. We do not guarantee that it will be uninterrupted, error-free, or that it will meet every requirement. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

8. Liability

To the fullest extent permitted by law, our aggregate liability arising out of or relating to the Service is capped at the amounts you paid us for the Service in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, consequential, special, or incidental damages, including loss of profits, data, or goodwill. Nothing in these Terms limits liability for fraud, death, or personal injury caused by negligence, or any other liability that cannot be excluded by law.

9. Indemnity

You will indemnify us against claims arising from your content, your unlawful use of the Service, or your breach of these Terms.

10. Suspension and termination

We may suspend or terminate your access if you materially breach these Terms, if payment fails, if your use presents a security or fraud risk, or if you repeatedly or seriously violate our policies. You may stop using the Service and delete your account at any time. When access ends, we will give you a reasonable opportunity to export your data before we delete or anonymise it.

11. Changes

We may update these Terms from time to time. Material changes will be communicated in-app or by email. Your continued use of the Service after changes take effect constitutes acceptance.

12. Governing law

These Terms are governed by the laws applicable at the place of business of Carlos Ronelli Freitas de Paula, without regard to conflict-of-law rules. Disputes will be resolved in the competent courts of that jurisdiction, unless mandatory local law provides otherwise.

13. Assignment and force majeure

You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays or failures caused by events beyond reasonable control.
